1. About Seafari Interiors

Seafari Interiors is a trade name/DBA of High Noon Enterprises LLC. Seafari Interiors provides interior decorating, design consultation, product sourcing, window-treatment services, and related products and services. Our custom services may include, among other things:

• Interior decorating consultation
• Color consultation
• Paint-color recommendations
• Wallpaper and wallcovering selections
• Furniture selections
• Fabric and textile selections
• Lighting recommendations
• Accessories and décor selections
• Window-treatment design and selection
• Product sourcing and procurement
• Room styling
• Design concepts and recommendations
• Product recommendations
• Trade and vendor coordination

The specific services provided for a particular project will be determined by the proposal, estimate, invoice, written agreement, or other documentation provided to the client.

2. Use of the Website

You agree to use the Website only for lawful purposes. You may not:

• Use the Website for fraudulent or unlawful purposes;
• Attempt to gain unauthorized access to the Website or its systems;
• Interfere with the operation or security of the Website;
• Copy, reproduce, modify, distribute, or exploit Website content without permission;
• Use automated systems to collect information from the Website without our permission;
• Impersonate another person or entity; or
• Use the Website in a manner that could damage Seafari Interiors or its customers.

We reserve the right to suspend or terminate access to the Website if we believe these Terms have been violated.

3. Design and Decorating Services

Seafari Interiors provides interior decorating and design consultation services based upon the information, preferences, measurements, photographs, and other information provided by the client. Our services may include recommendations regarding colors, wallpaper, furnishings, fabrics, window treatments, accessories, lighting, finishes, and other decorative elements.

Unless specifically agreed otherwise in writing, our services do not include architectural, engineering, structural, construction, electrical, plumbing, or other professional services requiring a separate professional license.

Where a project requires architectural, engineering, structural, construction, permitting, or other regulated professional services, the client is responsible for retaining the appropriately licensed professional.

4. Design Recommendations

Design recommendations are subjective and are based upon the information available to Seafari Interiors at the time the recommendations are made. Recommendations may include:

• Paint colors;
• Wallpaper;
• Fabrics;
• Furniture;
• Lighting;
• Rugs;
• Window treatments;
• Accessories;
• Finishes;
• Decorative materials; and
• Other products or design elements.

While we make recommendations in good faith and based upon our professional experience, we do not guarantee that a particular product, color, material, design, or recommendation will meet the client's subjective expectations or preferences. The client is responsible for reviewing and approving final selections before purchasing or ordering products.

5. Client Approval

All final design selections require client approval. Before purchasing or ordering products, clients are responsible for reviewing applicable:

• Product descriptions;
• Dimensions;
• Colors;
• Finishes;
• Materials;
• Quantities;
• Specifications;
• Pricing; and
• Other relevant information.

Once the client approves a selection or authorizes an order, Seafari Interiors may proceed with purchasing or ordering the product. The client's approval may be provided electronically, by email, text message, signed document, payment, or another form of written or electronic authorization.

6. Colors, Materials, and Samples

Colors and materials may appear differently depending upon lighting, viewing conditions, computer monitors, mobile devices, photography, printing processes, and other factors. Paint, wallpaper, fabric, wood, stone, flooring, window-treatment materials, and other products may also contain natural or manufacturing variations. Samples should be requested.

Where appropriate, Seafari Interiors may recommend that clients obtain physical samples before making final selections. The client is responsible for approving the final color, material, finish, pattern, and product before purchase or installation. A digital image or photograph should not be relied upon as an exact representation of the final product.

7. Measurements and Product Specifications

For products that depend upon measurements, including window treatments, shades, blinds, furniture, rugs, wallpaper, and other products, measurements may be provided by the client, Seafari Interiors, a manufacturer, installer, or another third party. The party responsible for taking measurements will be identified when applicable.

Clients are responsible for providing accurate information when they are responsible for measurements. Seafari Interiors is not responsible for errors resulting from inaccurate measurements, dimensions, drawings, photographs, or information supplied by the client or a third party.

8. Product Orders

Products offered through the Website or through Seafari Interiors may include:

• Window shades
• Window treatments
• Wallpaper
• Fabrics
• Furniture
• Lighting
• Décor
• Accessories
• Custom products
• Other interior furnishings and materials

Product availability is subject to change. Any item with custom colors should all be ordered at the same time; we cannot guarantee same colors if additional wallpaper and/or stained items are ordered in more than one batch.

We reserve the right to correct pricing, product descriptions, availability, and other errors and to cancel an order if an error has occurred. If we cancel an order after payment has been received, we will refund the amount actually paid for the canceled order.

9. Custom and Special-Order Products

Many products offered by Seafari Interiors may be custom-made, specially fabricated, personalized, or ordered specifically for a particular client. Custom and special-order products may not be cancelable, returnable, or refundable once an order has been placed with the manufacturer or supplier.

Before placing an order for a custom or special-order product, we encourage clients to confirm all:

• Measurements
• Dimensions
• Colors
• Fabrics
• Material
• Finishes
• Configurations
• Quantities
• Other specifications

The specific cancellation and return terms applicable to a particular product will be communicated when applicable.

10. Product Warranties

Products may be subject to warranties provided by the manufacturer. Where applicable, Seafari Interiors will pass through the manufacturer's warranty to the customer to the extent permitted by the manufacturer.

Seafari Interiors does not independently guarantee or warrant products beyond any warranties expressly provided by Seafari Interiors in writing. Manufacturer warranties may have limitations, exclusions, registration requirements, and specific claim procedures.

11. Third-Party Products and Services

Some products and services are manufactured, supplied, shipped, fabricated, or installed by third parties. Seafari Interiors is not responsible for the independent acts, omissions, delays, errors, warranties, or performance of third-party manufacturers, suppliers, shipping companies, installers, contractors, or other service providers, except to the extent required by applicable law.

12. Shipping and Delivery

Estimated shipping or delivery dates are estimates only and are not guaranteed unless expressly agreed in writing. Shipping and delivery may be affected by:

• Manufacturer delays
• Material shortages
• Weather
• Transportation delays
• Labor shortages
• Customs or import issues
• Supply-chain disruptions
• Other circumstances outside our reasonable control

We will make reasonable efforts to communicate significant delays when we become aware of them.

13. Installation

Unless expressly stated in writing, the sale of a product does not include installation. Installation may be performed by Seafari Interiors, an independent installer, manufacturer, contractor, or other third party.

Clients are responsible for ensuring that installation areas are reasonably accessible and suitable for installation. Where installation is performed by a third party, that party may have its own terms, warranties, and responsibilities.

14. Pricing

Prices displayed on the Website are subject to change without notice. Unless otherwise stated, prices may not include:

• Sales tax
• Shipping
• Delivery
• Installation
• Design fees
• Customization charges
• Other applicable charges

The final price applicable to a particular order will be reflected in the applicable invoice, proposal, or order confirmation.

15. Design Fees

Design and decorating services may be billed on an hourly, fixed-fee, project-fee, consultation, procurement, or other agreed basis. The applicable fee structure will be disclosed before services begin whenever reasonably practicable.

Unless otherwise agreed in writing, design fees are separate from the cost of products purchased for a project.

16. Product Sourcing and Procurement

When Seafari Interiors sources or purchases products on behalf of a client, the client authorizes Seafari Interiors to communicate with manufacturers, vendors, suppliers, fabricators, and other trade partners as reasonably necessary to fulfill the project. The client agrees to pay all approved product costs, applicable taxes, shipping, delivery, installation, and other charges disclosed in the applicable proposal or invoice.

17. Design Markups, Commissions, and Trade Pricing

Depending upon the project and product, Seafari Interiors may receive trade pricing, discounts, commissions, referral fees, or other compensation from manufacturers, suppliers, vendors, or other trade partners. Where applicable and required by law, such compensation will be disclosed. Unless expressly agreed otherwise in writing, Seafari Interiors is not required to disclose its confidential vendor pricing, wholesale pricing, trade discounts, or negotiated purchasing arrangements.

18. Returns and Exchanges

Returns and exchanges are subject to the return policy applicable to the particular product and/or manufacturer. Because many interior furnishings and materials are custom, personalized, cut, fabricated, or specially ordered, certain products may be final sale and not eligible for return or exchange.

Before purchasing a product, clients should review any applicable return restrictions. If a product is defective or damaged, please contact Seafari Interiors within 3 days of delivery and provide photographs and other information reasonably requested to evaluate the issue.

19. Damaged Products

Clients should inspect products promptly upon delivery. If a product arrives damaged, clients should refuse delivery and notify Seafari Interiors immediately and, when requested, provide photographs of:

• The product
• Packaging
• Shipping labels
• Any visible damage

Failure to promptly report damage may affect our ability to pursue a claim with a manufacturer or shipping carrier.

20. Intellectual Property

The Website and its contents, including:

• Logos
• Names
• Photographs
• Graphics
• Text
• Design concepts
• Mood boards
• Written materials
• Product presentations
• Website design
• Branding
• Other materials

are owned by or licensed to High Noon Enterprises LLC dba/ Seafari Interiors and are protected by applicable intellectual-property laws. You may not reproduce, distribute, modify, publish, sell, or commercially exploit these materials without our prior written permission.

21. Design Concepts and Materials

Design concepts, mood boards, room concepts, product selections, written recommendations, specifications, drawings, presentations, and other materials prepared by Seafari Interiors are intended for the specific client and project for which they were created. Unless otherwise agreed in writing, such materials may not be:

• Resold
• Reproduced for another project
• Distributed to third parties for commercial use
• Published
• Used to create substantially similar projects for other clients
• Represented as the work of another person or business

Seafari Interiors retains ownership of its underlying design concepts, templates, methods, presentations, and other proprietary materials, subject to any rights belonging to the client or third-party content owners.

22. Client-Provided Materials

You represent that you have the right to provide photographs, drawings, floor plans, inspiration images, or other materials to Seafari Interiors. You grant us permission to use those materials as reasonably necessary to provide the services you request. We will handle personal information in accordance with our Privacy Policy.

23. Portfolio and Marketing

Seafari Interiors may request permission to photograph or feature completed projects for our portfolio, Website, social media, advertising, publications, or other marketing purposes. We will not use identifiable photographs of your home or project for promotional purposes without your permission, except where otherwise permitted by applicable law. Any separate project photography or portfolio release will govern the use of those photographs.

24. Third-Party Links

The Website may contain links to third-party websites. Those websites are not controlled by Seafari Interiors. We are not responsible for the content, privacy practices, security, availability, products, or services offered by third-party websites.

25. Website Information

We attempt to keep Website information accurate and current. However, we do not warrant that all Website content is complete, accurate, current, or error-free. Product availability, pricing, specifications, colors, photographs, and other information may change without notice.

26. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SEAFARI INTERIORS DISCLAIMS WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEAFARI INTERIORS AND HIGH NOON ENTERPRISES LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE WEBSITE, PRODUCTS, SERVICES, DESIGN RECOMMENDATIONS, OR YOUR USE OF THE WEBSITE. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF A PARTICULAR PRODUCT OR SERVICE WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO SEAFARI INTERIORS FOR THAT PARTICULAR PRODUCT OR SERVICE.

This limitation does not apply to liability that cannot legally be limited or excluded.

28. Design Liability

Design and decorating recommendations involve subjective judgments and may depend upon information supplied by the client and conditions that may not be visible or known to Seafari Interiors. Seafari Interiors is not responsible for conditions that were not disclosed to us, inaccurate information supplied by the client or third parties, concealed conditions, contractor workmanship, installation errors, structural conditions, building-code issues, or other matters outside the scope of our services.

Where professional architectural, engineering, structural, construction, electrical, plumbing, or other regulated services are required, the client is responsible for engaging an appropriately qualified professional.

29. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless High Noon Enterprises LLC, Seafari Interiors, and their owners, employees, contractors, and representatives from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your violation of these Terms
• Your misuse of the Website
• Information or materials you provide that you do not have the right to use
• Your unauthorized use of our intellectual property
• Your intentional or negligent misconduct

30. Force Majeure

Seafari Interiors will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including:

• Acts of God

• Hurricanes
• Floods
• Fire
• War
• Terrorism
• Labor disputes
• Manufacturer shutdowns
• Supply-chain disruptions
• Transportation disruptions

31. Governing Law

These Terms will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.

32. Disputes

We encourage customers to contact us first to attempt to resolve any dispute informally. Nothing in these Terms limits any rights that cannot legally be waived.

33. Changes to These Terms

We may update these Terms from time to time. Your continued use of the Website constitutes acceptance of the revised Terms to the extent permitted by law.

34. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

35. Entire Agreement

These Terms, together with our Privacy Policy and any written proposal, invoice, Design Services Agreement, order confirmation, or other written agreement applicable to a particular transaction, constitute the agreements governing your relationship with Seafari Interiors with respect to the applicable Website use, product purchase, or service. If there is a conflict between these Website Terms and a separately signed agreement for design services, the separately signed agreement will control with respect to that particular project.
